1.About us & these terms
This website and the consulting services are operated by Milton Holdco Ltd ("we", "us", "our"), trading as Steve Milton Consulting, a company registered in England & Wales under company number 15960882.
These Terms and Conditions ("Terms") govern your use of this website (stevemiltonconsulting.com) and any consulting services you purchase from us. By using this website or engaging our services, you confirm that you accept these Terms. If you do not agree, please do not use the website or engage our services.
We may update these Terms from time to time. The version in force is the one published on this page at the date you use the website or enter into a contract with us.
2.Definitions
- "Client", "you" — the organisation or individual purchasing or receiving the Services.
- "Services" — the consulting engagements, advisory, sessions, deliverables, materials and related services we provide.
- "Session" — a scheduled consulting meeting held by video, telephone or in person.
- "Engagement" — a defined package of Services (for example the Strategic Sales & Go-to-Market Advisory or the Enterprise Deal & Win-Strategy Consulting engagement).
3.The services
We provide strategic sales and go-to-market consulting to technology companies and their leaders. The specific scope, format, duration, deliverables and price of your Services will be as described on this website, in your proposal, or as agreed in writing before your Engagement begins.
We will provide the Services with reasonable care and skill. Consulting is a collaborative process and outcomes depend significantly on your organisation's own participation, execution and decisions (see section 7).
4.Fees & payment
Fees for the Services are as quoted to you or as agreed in your proposal. Unless otherwise agreed in writing:
- Fees are payable in advance or in the instalments set out in your proposal.
- An Engagement is confirmed once the initial payment (or agreed instalment) has been received.
- Where fees are paid by instalment, you remain liable for the full Engagement fee unless the contract is ended in accordance with these Terms.
- All fees are in pounds sterling (£). We are not currently VAT-registered, so VAT is not charged.
- Invoices are payable within the period stated on the invoice. We may suspend the Services if payment is overdue after we have given you notice.
5.Cancellation, rescheduling & refunds
Rescheduling individual sessions. If you need to reschedule a Session, please give us at least 24 hours' notice. Sessions cancelled with less than 24 hours' notice, or missed, may be treated as delivered and are not normally refundable or rearranged.
Consumer cancellation right. If you are a consumer (rather than a business) and you buy Services online or at a distance, you have the right to cancel within 14 days of entering into the contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To cancel, contact us using the details in section 17. If you ask us to begin the Services during the 14-day period, you agree to pay for Services provided up to the point you cancel, and you lose the right to cancel once the Services have been fully performed.
Ending an Engagement. The notice and termination arrangements for each Engagement are set out in your proposal. Fees already paid for the current period are non-refundable except where required by law or expressly agreed.
6.Your responsibilities
- Provide timely access to the people, information and accounts needed for the Engagement.
- Provide accurate information and engage openly in the work.
- Take responsibility for your organisation's own decisions, actions and results.
- Pay all fees when due.
7.Nature of our services & no guarantees
Our consulting services are advisory and hands-on support for your sales and go-to-market. They are not legal, financial, tax, accounting or investment advice, and are not a substitute for professional advice in those areas. You should seek advice from an appropriately qualified professional on such matters, and all decisions in those areas remain your responsibility.
While we will provide the Services professionally, results depend on many factors within your and your organisation's control — including execution, resourcing, market conditions and the deals themselves. We do not and cannot guarantee any specific result, revenue, win-rate, deal outcome or business performance. Any examples, case studies, testimonials or figures shown are illustrative and are not a promise or guarantee of your results.
8.Confidentiality
We will keep information you share with us during an Engagement confidential and will not disclose it to third parties without your consent, except where required by law. We may use anonymised, non-identifying insights for our own development. Where a separate non-disclosure agreement is signed, that agreement will apply. Where you share a third party's confidential information, you are responsible for ensuring you are permitted to do so.
9.Intellectual property
All content on this website and all consulting materials, frameworks, methodologies, playbooks, templates and resources we provide are owned by or licensed to us and are protected by intellectual property laws. You may use materials we provide for your own internal business use in connection with the Services, but you may not copy, resell, distribute or publish them outside your organisation without our written permission. Deliverables created specifically for you are licensed to you for your internal business use.
10.Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Subject to the above, and to the fullest extent permitted by law: we are not liable for any loss of profit, loss of business, loss of opportunity or any indirect or consequential loss arising from the Services or your use of this website; and our total liability to you for any claim arising out of or in connection with the Services shall not exceed the total fees you have paid to us for the relevant Services.
11.Data protection & privacy
We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Details of what we collect, why, and your rights are set out in our Privacy Policy. We are registered with the Information Commissioner's Office (ICO), registration number C1983125.
12.Use of this website
This website is provided for general information about our Services. We try to keep it accurate and available but do not guarantee it will be error-free or uninterrupted. You must not misuse the website, attempt to gain unauthorised access, or use it for any unlawful purpose. This website may contain links to third-party sites; we are not responsible for their content.
13.Events outside our control
We are not liable for any failure or delay in performing the Services caused by events outside our reasonable control (for example illness, technical failure, or other force majeure events). Where this happens we will contact you to reschedule.
14.Complaints
If you are unhappy with any aspect of the Services, please contact us using the details in section 17 and we will work with you to put things right.
15.General
These Terms, together with your proposal, constitute the entire agreement between us in relation to the Services. If any provision is found to be unenforceable, the remaining provisions continue in force. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms without our consent.
16.Governing law
These Terms and any dispute arising out of them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
